Agreement to these terms
These terms govern the use of the TMS Technology platform, including our WhatsApp and SMS messaging tools, campaign builder, workflow automation, notifications, and analytics features. By creating an account or using the platform, your business agrees to these terms. If you are accepting on behalf of a company, you confirm you have the authority to do so.
The service we provide
TMS gives businesses the tools to communicate with their own customers through channels such as WhatsApp, SMS, and email, and to automate the workflows around that communication. We route and deliver messages on your behalf, provide the dashboards and analytics needed to measure performance, and maintain the uptime and reliability of the underlying platform.
We do not control what your business chooses to send through the platform. That responsibility, and the relationship with your own customers, remains yours.
Your responsibilities
You are responsible for the accuracy of the contact lists you upload, for obtaining any consent required before messaging your customers, and for the content of the messages and campaigns you send. You must not use TMS to send unsolicited bulk messages, fraudulent content, or anything that violates the policies of the networks and platforms we connect to, including WhatsApp's own commerce and messaging policies.
You are responsible for keeping your account credentials secure and for the actions taken by anyone on your team who has access to your account.
Fees and billing
Fees are set out in the plan you choose when signing up, or in a separate order form for enterprise accounts. Fees are billed in advance for subscription charges and in arrears for usage-based charges such as message volume. Late payments may result in suspension of service until the account is brought current.
We will give at least thirty days' notice before changing the fees on an existing plan.
Service availability
We work to keep the platform available and reliable, but message delivery also depends on third parties we do not control, including mobile network operators and WhatsApp's Business Platform. We are not responsible for delivery failures caused by those third parties, by incorrect recipient information, or by a recipient blocking or opting out of messages.
We schedule maintenance windows outside normal business hours where possible and will notify account administrators in advance of any planned downtime that could affect delivery.
Suspension and termination
We may suspend or terminate an account that violates these terms, misuses the platform to send spam or fraudulent content, or fails to pay outstanding fees after notice. You may cancel your account at any time; cancellation takes effect at the end of the current billing period, and you remain responsible for fees incurred up to that point.
On termination, you can request an export of your account data, including message history and analytics, within thirty days.
Liability
TMS is not liable for indirect or consequential losses, including lost profits or lost business opportunities, arising from use of the platform. Our total liability for any claim relating to the service is limited to the fees paid for the service in the three months before the claim arose. Nothing in these terms limits liability that cannot be limited under applicable law.
Changes to these terms
We may update these terms as the platform evolves. We will notify account administrators by email at least fourteen days before a material change takes effect. Continued use of the platform after that date means you accept the updated terms.
